Board Governance is a simple concept. Yet, when boards begin to move from “managing” to governing manager’s, emotions, myths and misinterpreted laws and regulations often get in the way of a harmonious transition.

Governance is mainly about clarifying roles for greater success and efficiency. Governance policies keep the board actively involved in holding the Executive accountable for results obtained using the authorities received from the board.

  • Where governance policies fit in the organization’s hierarchy of guiding and controlling documents.
  • The impact of governance policies on board and management fiduciary duties and how to maintain compliance
